Service & Consulting Agreement

PART TIME GLOBAL PARTNER LTD.

This Agreement shall define the responsibilities and actions of PART TIME GLOBAL PARTNER LTD. supporting PowerFirst on the continuous upgrade / improvements of its various management softwares include but not only salesforce CRM, D&B Hoovers. With expertise from PART TIME GLOBAL PARTNER LTD., PowerFirst will be able to achieve better humanized operations, less workload, better services to customers, and faster growth of business.

Therefore, the parties agree as follows:

Scope / Main topics software for PART TIME GLOBAL PARTNER LTD. will be:

Investigate the systems currently being used by PowerFirst

- Existing functions / software modules being used

- Existing inconvenient usages, excessive workloads

- Existing low efficient operation steps


Identify possible improvements from following aspects

- Data bases

- Order processing operation

- Documentation operation

- Interfaces between various systems


Feasibility study and evaluation on PowerFirst’s new requests from following aspects

- Data bases

- Order processing operation

- Documentation operation

- Interfaces between various systems

Determine the yearly improvements / upgrades activities for the systems


Carry out the yearly continuous improvements / upgrade

Scope / Main topics marketing for PART TIME GLOBAL PARTNER LTD. will be:

Identify new customers in Europe

- get in touch with them by phone and email

- Introduce PowerFirst as a global player on the market

- Introduce product and services PowerFirst can offer

Support on communication to existing customers


Translation work for

- Homepage

- Merchandising documents like catalog or mails

- Communication with suppliers


Supporting on negotiations and identifying competitors’ prices

Support during samples process & testing


Support for any questions related to European Countries

Support PowerFirst Sales Team and Management

Support on European Business Travel

- trips to customers

- trips to exhibitions


Support all other department from PowerFirst for all general questions

Validity of this agreement:

This agreement is valid from 04-01-2023 till 03-01-2024(in total 12 month)


If the agreement is not terminated within 2 months before expiry, it will be extended by 12 months.

Cost for service

The service amounts shall be paid according to the confirmed invoices irregularly issued according to the sales leads and business benefited from IMPROVE HOLDING LTD’s service. PowerFirst will calculate and pay quarterly.

Invoicing of service amount
PART TIME GLOBAL PARTNER LTD. will issue an invoice to PowerFirst


The invoice needs to be paid within 20 working days (4 weeks) to the account of PART TIME GLOBAL PARTNER LTD.

Non-Disclosure Agreement

A separate NDA document will be signed between both parties.

Disputes

Disputes arising during the performance of this agreement shall be resolved by both parties through negotiation.

Copies

This agreement is made in two copies, both parties hold one copy, which have the same legal effect. (Copies shared by email)
